SLIC ADZ Host Agreement
Effective date: September 23, 2026
Version: slic-adz-v1-legal-2026-09-23
1. Relationship
As a Host, you participate as an independent business location making display space available for SLIC ADZ campaigns. Participation alone does not create employment, partnership, franchise, or agency.
2. Host commitment
Initial Host commitment options currently include 6 months or 12 months. Your selected commitment is stored. Slic does not automatically create another fixed commitment after expiration without affirmative agreement.
3. Location and screen
You agree to maintain the approved display location and reasonably support operation of the display during normal operating periods. Provide accurate location, audience, traffic, and placement information to the best of your knowledge. Traffic and dwell information you supply may be represented to advertisers as estimates.
4. OptiSigns
SLIC ADZ manages the playlist associated with the Host location. Assignment of that playlist to the applicable physical display device is handled separately through the digital-signage system.
5. Host content and paid capacity
One host-content slot may be available under current SLIC ADZ playlist standards. The current standard capacity model may allow up to 10 paid advertiser slots plus one host-content slot per screen or location, subject to Slic’s operational changes for future campaigns. Already-sold campaign obligations are not retroactively impaired by later capacity changes.
6. Approval rights
You may review advertisements assigned to your location and establish prohibited advertiser categories, specific prohibited businesses or competitors, and reasonable content restrictions. Exercise approval and rejection rights reasonably and promptly.
7. Host revenue share
Unless a documented Host-specific override applies, the default Host revenue share is 25% of applicable advertising revenue attributable to the Host location, with 75% retained by Slic before Slic expenses.
Host payouts are currently administered manually. Estimated or pending earnings are not final until applicable campaign delivery and payment status are confirmed. Payout timing and processing information will be communicated by Slic.
8. Delivery and uptime
Do not intentionally disconnect, obstruct, relocate, or disable the display in a manner that materially interferes with active campaigns without coordinating with Slic, except where reasonably necessary for safety, maintenance, emergency, or business operations. Reasonably notify Slic of known outages or problems.
9. Hardware
Hardware ownership, installation, maintenance, and related responsibilities are determined by the applicable onboarding or setup arrangement for each Host location.
10. Campaign records
Slic may retain campaign, creative, approval, delivery, and audit records necessary to operate the platform and resolve disputes.
11. Termination
Either party may terminate for material breach and at completion of applicable commitments. Active advertiser obligations should be considered when terminating a Host location. If a Host location becomes unable to deliver active campaigns, Slic may pause or cancel campaigns and provide appropriate advertiser remedies.
12. Payments and taxes
You are responsible for taxes applicable to amounts paid to you, except taxes Slic is legally required to withhold or remit.
13. Independent business
You control your own business operations except for the contractual obligations you accept through the program.
14. Limitation of liability
To the maximum extent permitted by applicable law, Slic is not responsible for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from ordinary platform or service failures. Nothing in this agreement limits liability for fraud, willful misconduct, or liabilities that legally cannot be limited.
