Advertiser Terms of Service

Effective September 23, 2026 · Version slic-adz-v1-legal-2026-09-23

SLIC ADZ Advertiser Terms of Service Effective date: September 23, 2026 Version: slic-adz-v1-legal-2026-09-23 These Terms govern advertising services purchased through SLIC ADZ, operated by Slic Adz LLC (“Slic,” “SLIC ADZ,” “we,” “us,” or “our”). By creating an account or purchasing advertising, you represent that you are at least 18 years old and have authority to act for the advertiser or business you represent. 1. The service SLIC ADZ provides access to a marketplace of participating physical locations where approved digital advertisements may be displayed. A marketplace listing describes the location, price, availability, estimated audience information, screen information, and other relevant details available at booking time. Traffic, audience, dwell time, exposure, impressions, and similar metrics may be estimates unless specifically identified as verified. Slic does not guarantee that estimated exposure equals actual views, customers, leads, sales, or other business results. 2. Bookings A booking applies only to the selected location, campaign period, pricing option, and creative approved for that campaign. Availability is not guaranteed until the booking is successfully completed. Slic may reject or cancel a booking that cannot be fulfilled, was created through an error, violates these Terms, or conflicts with host restrictions. If Slic cancels a paid booking before delivery for reasons not caused by you, Slic will provide an appropriate refund or account credit for the undelivered service. 3. Pricing You pay the price displayed and confirmed during checkout. Prices may vary by location. Future marketplace price changes do not retroactively change the contracted rate for an existing continuous subscription unless you affirmatively agree or the applicable booking terms expressly permit the change. 4. Month-to-Month A Month-to-Month campaign is billed monthly and continues month-to-month until cancelled through the in-app cancellation process. Checkout discloses the monthly price, billing frequency, that charges recur, and how cancellation works. 5. 6-Month and 12-Month commitments A discounted commitment is a minimum service commitment. It is not an automatic renewal into another fixed 6- or 12-month commitment. During the selected commitment, you agree to maintain and pay for the campaign for that minimum period. If monthly payments are selected, you are charged monthly during the commitment. After the minimum commitment is successfully completed, the campaign may continue month-to-month at your contracted discounted monthly rate while you remain continuously subscribed. Completing a commitment does not enroll you into another fixed minimum commitment without new affirmative consent. 6. Pay-in-Full Where Pay-in-Full is offered, you pay the displayed total for the selected commitment at checkout. Checkout discloses what period the payment covers and whether any recurring charge will occur afterward. Slic does not silently create a new fixed-term renewal after a prepaid commitment. 7. Auto-renew and recurring billing Where checkout shows Auto-renew: On, you authorize Slic to charge the payment method on file according to the displayed billing schedule until auto-renew is turned off or the campaign is cancelled, subject to any existing minimum commitment. Before you provide payment information, checkout shows the amount, billing frequency, any minimum commitment, auto-renew status, cancellation method, and material early-cancellation consequences. Discounted commitments require affirmative acknowledgment. Marketing communications are not required as a condition of purchase. 8. Cancellation Advertisers may cancel through the in-app cancellation flow. For Month-to-Month campaigns, cancellation ordinarily prevents future renewal charges and takes effect at the end of the already-paid service period unless the interface clearly states otherwise. For campaigns still inside a discounted minimum commitment, cancellation may be subject to the discount-reconciliation terms disclosed and affirmatively accepted at purchase. The cancellation interface discloses the effective date and any amount that may become due before final confirmation. A campaign is not cancelled until the system has accepted the cancellation. 9. Early commitment cancellation / discount reconciliation If you voluntarily terminate a discounted 6- or 12-month commitment before satisfying the minimum commitment, Slic may require reconciliation of discounts already received. Unless a campaign-specific checkout expressly states another formula, any reconciliation may not exceed the difference between (A) the undiscounted Month-to-Month price that would have applied for service already delivered and (B) the discounted amount actually paid for that delivered service. Slic does not automatically charge amounts that were not clearly disclosed and authorized. Where the application does not yet automate collection, the interface may show a possible obligation and require Slic review before collection. 10. Refunds and account credits Except where required by law or expressly stated otherwise, completed advertising service is generally non-refundable. If a campaign cannot be delivered as scheduled, experiences a material delivery shortfall, or is cancelled by Slic for reasons not caused by you, Slic may issue account credit, a partial refund, a full refund, or replacement delivery as appropriate. A performance report showing below-target delivery does not automatically promise a particular refund amount. Slic reviews delivery shortfalls before determining the appropriate remedy. Unused account credit has no cash value except where Slic expressly approves a cash refund or applicable law requires otherwise. 11. Creative requirements You are responsible for your advertising content and represent that you have the rights needed to use submitted text, images, logos, trademarks, video, music, and other content. Creative may be reviewed by Slic and the participating host. Approval for one campaign or location does not guarantee approval elsewhere. Previously approved Creative Library content may require new review for a new booking or location. Slic or a host may reject content reasonably believed to be unlawful, misleading, infringing, defamatory, obscene, unsafe, incompatible with host restrictions, politically restricted by the host, competitive with a specifically restricted business, or otherwise inappropriate for the location. When reasonably possible, rejected creative includes a reason and an opportunity to replace or resubmit. You remain responsible for the truthfulness and legality of advertising claims. 12. Host approval Participating locations may establish advertising restrictions and may approve or reject creatives consistent with the SLIC ADZ workflow. Host rejection of creative does not automatically terminate the booking if you can timely submit acceptable replacement creative. 13. Delivery Standard SLIC ADZ playback currently uses approximately 10-second standard advertisements, video advertisements up to approximately 15 seconds, playlists generally capped around two minutes, and intended advertiser appearance at least once approximately every two minutes when operating normally. Actual delivery may be affected by screen uptime, internet connectivity, hardware, location operating hours, scheduling, emergency maintenance, host operations, third-party software, and other circumstances. Slic does not promise uninterrupted display. 14. Reporting Campaign reporting may include verified ad plays where available, delivery percentage, screen uptime, estimated exposure, campaign dates, location, and delivered creative. Estimated exposure remains labeled as estimated. Automated proof-of-play features that do not yet exist are not promised. 15. No performance guarantee Slic does not guarantee sales, leads, foot traffic, revenue, brand lift, conversion rate, or a specific number of people who personally viewed an ad. Advertisers purchase advertising delivery, not guaranteed business results. 16. Accounts Provide accurate information and safeguard credentials. Slic may suspend accounts reasonably believed to involve fraud, unauthorized payment activity, security threats, unlawful advertising, abuse, or material violation of these Terms. 17. Intellectual property You retain ownership of submitted creative. You grant Slic and participating hosts a limited license to store, process, reproduce, schedule, and display the creative solely as reasonably necessary to operate the campaign and maintain campaign and audit records. SLIC ADZ software, marketplace design, branding, proprietary data, and platform materials remain owned by their respective owners. 18. Third-party services SLIC ADZ relies on service providers that may include payment processing, authentication, database and storage, email delivery, hosting, mapping, and digital-signage software. Interruptions outside Slic’s reasonable control may affect availability. 19. Limitation of liability To the maximum extent permitted by applicable law, Slic is not responsible for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from ordinary platform or service failures. For direct claims arising from a specific paid campaign, Slic’s aggregate liability ordinarily will not exceed amounts paid to Slic for the affected campaign during the six months preceding the event giving rise to the claim, except where applicable law prohibits such limitation. Nothing in these Terms limits liability for fraud, willful misconduct, or liabilities that legally cannot be limited. 20. Changes Slic may update these Terms prospectively. Material changes affecting active recurring services will be communicated reasonably before becoming effective where required. Slic does not retroactively change already-earned contractual obligations without notice. 21. Termination Either party may terminate as permitted by the applicable booking and commitment terms. Termination does not eliminate amounts already properly due. Slic may suspend or terminate service for material breach, fraud, unlawful conduct, security threats, or nonpayment after reasonable handling appropriate to the circumstances. 22. Electronic transactions Accounts, checkout acknowledgments, electronic records, and electronic acceptance may be used to form and administer transactions to the extent permitted by applicable law. 23.
